Read alongside our Privacy Policy, Sub-processor list, and Data Processing Agreement template.
These Terms of Service (“Terms”) are a binding agreement between you — the business or legal entity using Drawn — and Drawn Mind Solutions Pty Ltd (“Drawn”, “we”, “us”), an Australian proprietary company. “You” and “your” refer to the registered business and any authorised user acting on its behalf.
By creating an account, signing in, or otherwise using Drawn, you accept these Terms and our Privacy Policy (incorporated by reference). If you don’t accept them, do not use Drawn. The person creating the account warrants they have authority to bind the business they represent.
Drawn is an AI-powered platform that listens to your business calls, learns facts about your operations, generates daily briefings, answers questions, and (when you connect them) reads operational data from your own connected systems. Drawn is provided as software-as-a-service, accessed through a web browser.
Drawn is provided on a paid subscription basis. Pricing, plan inclusions, and the billing cycle for your account are set out in your order form or in-product checkout at the time you subscribe. Prices are quoted in Australian dollars and are exclusive of GST unless stated otherwise; a tax invoice is issued each billing period.
Fees are billed in advance and are due on the invoice date. Subscriptions auto-renew at the then-current price until cancelled. If a payment fails, we may suspend access after 7 days’ notice and terminate after 30 days’ continued non-payment. Overdue amounts accrue interest at the RBA cash rate + 4% per annum from the due date.
You may upgrade, downgrade, or cancel any time from Settings → Billing. Upgrades take effect immediately and are pro-rated; downgrades and cancellations take effect at the end of the current billing period. Drawn does not refund partial months or unused portions of an annual plan, except where required by the Australian Consumer Law (Section 12) or where Drawn has materially breached these Terms.
You agree not to:
You are responsible for obtaining all consents required from your callers, customers, and employees before allowing Drawn to process their data — including any consent or disclosure required to lawfully record a call in your State or Territory.
Our IP. Drawn, the Drawn name and logo, the dashboard interface, our prompts, models (and fine-tunes), code, and documentation remain the property of Drawn Mind Solutions Pty Ltd. We grant you a non-exclusive, non-transferable, revocable licence to use Drawn for your internal business purposes during your subscription.
Your data. You retain all right, title, and interest in the data you provide to Drawn (“Customer Data”) — call recordings, transcripts, uploaded documents, and the structured facts Drawn extracts. You grant Drawn a worldwide, royalty-free, non-exclusive licence to process Customer Data solely to provide, secure, and improve the service for you. This licence ends when you delete the data or terminate your account, subject to the retention schedule in our Privacy Policy.
Aggregated insights. Drawn may create de-identified, aggregated insights from Customer Data (e.g. “median after-hours callback time across Brisbane plumbers”) and use them to improve the service and produce industry benchmarks. Aggregated insights contain no identifiable information about you, your business, or your callers. You must opt in to industry aggregation; the default is OFF.
Feedback. If you give us feedback, feature requests, or suggestions, you grant Drawn a perpetual, irrevocable, royalty-free licence to use that feedback to improve the service, without obligation to compensate or attribute you.
Output. Drawn outputs (summaries, briefings, chat answers) are licensed to you for your internal business use. You are responsible for reviewing outputs before relying on them; see Section 16 (AI disclosures).
You can export the full set of Customer Data Drawn holds about your business at any time from Settings → Security → Export My Data, as a single JSON file. On termination of your subscription (for any reason), Drawn will:
We may retain de-identified aggregate data, audit logs, and any data we are required to keep by law (e.g. tax invoices for 5 years under the Income Tax Assessment Act).
Drawn targets 99.5% monthly availability of the dashboard and core APIs, measured excluding scheduled maintenance and Force Majeure Events. Scheduled maintenance is announced at least 48 hours in advance and conducted where reasonably practicable outside Australian business hours.
Drawn relies on third-party sub-processors (Supabase, Anthropic, Vercel, your connected voice provider). Outages caused by those providers, by your own systems, or by events outside Drawn’s reasonable control — acts of God, war, terrorism, civil disturbance, pandemic, government action, labour disputes, internet failure, denial-of-service attacks, or third-party service interruption (a “Force Majeure Event”) — are not counted against the availability target and do not give rise to a right to a refund or termination, except as required by the Australian Consumer Law (Section 12).
If Drawn fails to meet the availability target for two consecutive months, you may terminate on 14 days’ notice and receive a pro-rata refund of fees paid for the unused portion of the current term.
Nothing in these Terms excludes or limits any non-excludable rights you have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), the Privacy Act 1988 (Cth), or any other law. See Section 12 for how those rights apply alongside this section.
Subject to that, and to the maximum extent permitted by law:
You indemnify Drawnagainst any claim, loss, or expense (including reasonable legal costs) arising from: (a) your use of Drawn in breach of these Terms or applicable law; (b) Customer Data you upload that infringes a third party’s rights or was collected without the consents required by law (including recording-disclosure consents); and (c) any claim by your caller, customer, or employee against Drawn that would not have arisen but for your breach of Section 5 (Acceptable use).
Drawn indemnifies you against any claim, loss, or expense arising from: (a) a notifiable data breach (within the meaning of Part IIIC of the Privacy Act 1988 (Cth)) caused by Drawn’s breach of its security obligations; and (b) any third-party claim that the Drawn platform itself (excluding Customer Data and third-party sub-processors) infringes that third party’s Australian intellectual property rights.
Each indemnity is conditional on the indemnified party promptly notifying the indemnifying party, giving reasonable cooperation, and allowing the indemnifying party to control the defence and settlement (no settlement that admits liability without the indemnified party’s consent).
Termination for convenience. Either party may terminate at the end of the current billing period by giving written notice (an email to hello@drawn.com.au or in-product cancellation suffices).
Termination for cause. Either party may terminate immediately on written notice if the other party: (a) materially breaches these Terms and does not cure within 14 days; (b) becomes insolvent, enters voluntary administration, or has a controller appointed; or (c) commits a breach of law that makes continued performance unlawful.
Suspension. Drawn may suspend your access (in whole or in part) on notice if: (a) fees are overdue more than 7 days; (b) we reasonably suspect a security incident from your account; (c) your use breaches Section 5; or (d) a sub-processor requires us to.
Sections 6 (IP), 7 (Data return), 9 (Liability), 10 (Indemnities), 13 (Confidentiality), 14 (Governing law), and any clauses that by their nature should survive, survive termination.
If you are a “consumer” within the meaning of the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) — which most Australian small businesses are when the service is supplied for under $100,000 — certain consumer guarantees apply to the supply of Drawn that cannot be excluded, restricted, or modified, including guarantees that services will be supplied with due care and skill, will be reasonably fit for the purpose you made known to us, and will be supplied within a reasonable time.
Nothing in these Terms — including Section 9 (Limitation of liability) — excludes, restricts, or modifies those non-excludable consumer guarantees. To the extent any provision of these Terms would otherwise do so, that provision does not apply and is severed.
Where permitted by s64A of the ACL, Drawn’s liability for a breach of a consumer guarantee in relation to the supply of services is, at Drawn’s option, limited to: (a) re-supply of the services; or (b) payment of the cost of having the services supplied again.
Each party may receive information from the other that is confidential — including Customer Data, prompts, pricing, and roadmap information (“Confidential Information”). Each party agrees to: (a) use Confidential Information only as necessary to perform these Terms; (b) protect it with at least the same care it uses for its own confidential information (and no less than reasonable care); and (c) not disclose it to anyone other than employees, contractors, and sub-processors with a need-to-know who are themselves bound by confidentiality obligations.
Confidential Information does not include information that is public, was independently developed, was rightfully received from a third party without confidentiality obligations, or is required to be disclosed by law (in which case the disclosing party will, where lawful, notify the other party first).
This obligation continues for 3 years after termination, except for trade secrets and personal information, for which the obligation is perpetual.
These Terms are governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia (Brisbane registry) for any dispute that cannot be resolved by the process below.
Before commencing court proceedings (other than for urgent injunctive relief), the parties will: (a) provide written notice of the dispute with reasonable detail; (b) meet (in person or by video) within 14 days to attempt to resolve the dispute in good faith; and (c) if unresolved after 30 days, either party may refer the dispute to mediation administered by the Resolution Institute under its standard mediation rules, before commencing proceedings.
We may update these Terms from time to time. For material changes (anything that materially reduces your rights, increases your obligations, or changes pricing) we will give you at least 30 days’ notice by email to your billing contact and an in-product banner. If you don’t accept the change, you may terminate before it takes effect and receive a pro-rata refund of any pre-paid fees for the unused portion of the term; continued use after the effective date is acceptance.
For non-material changes (typos, link fixes, clarifications that don’t reduce your rights) we’ll just push the update and bump the “Last updated” date at the top of this page.
Drawn is an AI-powered service. You acknowledge:
Drawn uses third-party sub-processors to provide the service. The current list and our full data-handling practices are set out in our Privacy Policy and Sub-processor list, which form part of these Terms. We will give you at least 30 days’ notice before adding a new sub-processor that processes Customer Data; if you reasonably object on data-protection grounds, you may terminate this agreement and receive a pro-rata refund of pre-paid fees.
Drawn is in an early-customer phase. Some features are labelled “beta”, “preview”, or “experimental” in-product. Beta features are provided on an “as-is” basis and may be modified, throttled, or withdrawn at any time with reasonable notice. Section 9 (Limitation of liability) applies in full to beta features; the availability target in Section 8 does not apply to them.
If you signed up via an invitation that included specific commercial terms (e.g. founding-customer pricing, free pilot period), those terms prevail over these Terms to the extent of any inconsistency, but only for the duration stated in the invitation.
